By signing up for the VacationTracker service (“Service”) or any services provided by Envision Technologies Ltd. (“Envision Technologies”, “we”, “us”, “our”), you agree to be bound by the following Terms of Service (“Terms”). Any new features or tools added to the current Service shall also be subject to these Terms.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice via the Service or email. Continued use of the Service after such notice constitutes acceptance of the updated Terms.

Account Terms

  1. You must be legally capable of entering into a binding agreement on behalf of yourself or your organization.
  2. You must provide accurate and complete registration information including name, organization, and a valid email address.
  3. You are responsible for maintaining the security of your account credentials and all activity under your account.
  4. You may not use the Service for any unlawful purpose or to violate any applicable laws or regulations.
  5. You are responsible for all content and data uploaded to or processed through your account.
  6. You must not transmit malware, destructive code, or attempt to interfere with or disrupt the Service.
  7. Violation of these Terms may result in suspension or termination of your access to the Service.

General Conditions

  1. You must read and accept these Terms and our Privacy Policy before using the Service.
  2. We reserve the right to modify or discontinue the Service, or any part of it, with reasonable notice where practicable.
  3. We may refuse service where necessary to comply with law, protect users, or prevent abuse.
  4. The Service is provided on an “as available” basis. We will use reasonable care and skill in providing it.
  5. We do not guarantee uninterrupted or error-free operation, but will take commercially reasonable steps to maintain reliability and security.
  6. We implement appropriate technical and organizational security measures including encryption in transit, access controls, and monitoring. Credit card data is handled by PCI-compliant payment processors.
  7. We may remove content or suspend accounts that violate law, third-party rights, or these Terms.
  8. We do not claim ownership over customer data. You retain all rights to your content. We process customer data solely to provide, secure, and improve the Service and as required by law.
  9. You grant us a limited licence to host, store, and process your data for the purpose of operating the Service.
  10. We do not use customer data for advertising, resale, or unrelated analytics.
  11. Confidential information shared between parties must be protected and not disclosed except as required to provide the Service or by law.

Data Protection and Processing

  1. Where the Service is used by an organization for its employees, the organization is the data controller and Envision Technologies acts as a data processor.
  2. We process personal data only on documented instructions from the customer and in accordance with applicable data protection laws including the EU GDPR and UK GDPR where applicable.
  3. We maintain a list of subprocessors used to operate the Service and will update it from time to time.
  4. Customer data is retained for the duration of the account. Following termination, data will be deleted within a reasonable period (generally within 30–90 days), except where retention is required by law or for legitimate backup integrity.
  5. Customers may export their data at any time during the subscription period.

Data Subject Rights

  1. Individuals whose personal data is processed through the Service may have rights including access, correction, deletion, restriction, portability, and objection, subject to applicable law.
  2. Where VacationTracker acts as a processor, such requests should normally be directed to the customer organization (the controller).
  3. We will assist customers, where reasonably possible, in responding to lawful data subject requests.

Third-Party Services and Integrations

  1. The Service may integrate with third-party platforms (e.g., Slack, Google). Data shared with such services is limited to what is necessary for the integration to function.
  2. Use of third-party services is subject to their own terms and privacy policies.
  3. We are not responsible for third-party systems outside our control.

Payment of Fees

  1. Fees are exclusive of applicable taxes unless stated otherwise. Customers are responsible for VAT and other taxes as required by law.
  2. Subscriptions renew automatically unless cancelled prior to renewal.
  3. We may suspend accounts for non-payment after reasonable notice.
  4. Except where required by law, fees are non-refundable.

Cancellation and Termination

  1. You may cancel your account at any time.
  2. Upon cancellation, access to the Service will end and data will be scheduled for deletion as described above.
  3. We may suspend or terminate access where required for legal compliance, security, fraud prevention, or material breach of these Terms.

Modifications to the Service and Prices

  1. Prices may change with at least 30 days notice.
  2. We may update or discontinue parts of the Service where necessary for operational, legal, or technical reasons.

Limitation of Liability

  1. Nothing in these Terms excludes liability for death, personal injury, fraud, or any liability that cannot be excluded under applicable law.
  2. To the maximum extent permitted by law, our total liability arising from the Service shall not exceed the fees paid by the customer in the 12 months preceding the event giving rise to the claim.
  3. We are not liable for indirect, incidental, or consequential losses, including loss of profits, business interruption, or loss of data, except where required by law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Irish courts.

Entire Agreement

These Terms constitute the entire agreement between you and Envision Technologies regarding the Service and supersede any prior agreements.
